Terms of Service for Sysarb Platform

1. Acceptance of Terms

By accessing or using Sysarb’s SaaS platform (the “Platform”), you agree to comply with and be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you must not access or use the Platform.

2. Account Registration

Access to certain features of the Platform may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to keep such information updated to ensure it remains accurate, current, and complete.

3. User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and you accept responsibility for all activities that occur under your account. You agree not to share your login credentials or access the Platform through unauthorized means.

You must ensure that strong and unique passwords are used for your account and that multi-factor authentication (MFA/2FA) is enabled where available. You are also responsible for ensuring that any device used to access the Platform is protected with up-to-date software and appropriate protection against malware.

If you suspect or become aware of a security incident related to your account, such as a compromised password or unauthorized access, you must notify Sysarb without undue delay.

4. Acceptable Use of the Platform

You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to data protection legislation (including GDPR), employment laws, and anti-discrimination laws.

You may not use the Platform to transmit or distribute any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.

Furthermore, you must not:

  • Distribute malicious software or harmful code

  • Conduct phishing or other unsolicited mass communications

  • Impersonate any person or entity

  • Infringe the intellectual property rights of third parties

  • Attempt to circumvent or interfere with the Platform’s security mechanisms without Sysarb’s prior written consent

5. Product-Specific Terms

The Sysarb Platform consists of multiple modules. The following terms apply to the modules included in your order.

Salary Review Module

You are responsible for ensuring that all input data used in the module—including salary data, job descriptions, and performance information—is accurate, complete, and lawfully obtained.

Any results, analytics, or recommendations generated by the module are provided solely as decision-support tools and do not constitute legal, financial, or HR advice. You remain solely responsible for all decisions made based on the information provided by the Platform.

The module may only be used for your organization’s internal salary review processes and must not be used to set salaries in a discriminatory or otherwise unlawful manner.

Pay Transparency Module

You are solely responsible for determining what information is published through this module and who receives access to such information.

You must ensure that any publication complies with your internal policies and all applicable laws and regulations, including GDPR and the EU Pay Transparency Directive. Sysarb is not responsible for how recipients interpret or use the information that you publish.

API and Integration Module

Use of Sysarb’s APIs is governed by the applicable technical documentation. You may not exceed the specified usage limits or data thresholds without prior written approval from Sysarb.

You may not use the APIs to develop competing services or to extract data in violation of these Terms or any applicable agreement with Sysarb.

Beta and Pre-Release Features

Features designated as “Beta” or “Pre-release” are provided on an “as is” basis without warranties or service level agreements (SLAs). Such features are not intended for production use, and any data used in connection with them may be deleted without prior notice.

6. Intellectual Property

The Platform, including all content, features, functionality, software, and design, is owned by Sysarb and is protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws.

7. Subscription and Payment

Access to certain features of the Platform may require payment of subscription fees. You agree to pay all applicable fees and charges associated with your account, including any applicable taxes.

8. Suspension and Termination

Sysarb reserves the right, at its sole discretion, to suspend or terminate your account and access to the Platform without prior notice if you breach these Terms or if Sysarb reasonably believes that your use of the Platform may cause harm to the Platform, Sysarb, or other users.

In the event of a violation of these Terms, Sysarb may also issue warnings, remove prohibited content, or restrict access for individual users without prejudice to any other rights available under applicable agreements or law.

9. Privacy Policy

Your use of the Platform is also governed by Sysarb’s Privacy Policy, which can be found at the following link: Privacy Policy.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Sysarb shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, use, goodwill, or other intangible losses arising out of or related to:

  • your use of or inability to use the Platform; or

  • any unauthorized access to or use of Sysarb’s servers and/or personal information stored therein.

Changes to These Terms

Sysarb reserves the right to modify or replace these Terms at any time. It is your responsibility to review the Terms periodically for updates. Your continued use of the Platform after any changes have been made constitutes your acceptance of the revised Terms.
